By accessing and using the services provided by LunarExpert Ltd ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. LunarExpert provides subcontractor management software solutions designed for the construction industry. Our services include contractor database management, compliance tracking, performance analytics, document management, project scheduling, and related support services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

User Obligations

As a user of our services, you agree to use our platform responsibly and in compliance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree not to use our services for any unlawful purpose, to transmit harmful or malicious code, to interfere with the operation of our services, to attempt unauthorised access to our systems, or to violate the rights of others. You must provide accurate and complete information when using our services and promptly update any changes to your information.

Account Registration and Security

To access certain features of our services, you may be required to create an account. You must provide accurate, current, and complete information during the registration process and maintain the accuracy of this information. You are solely responsible for safeguarding your account credentials and must notify us immediately of any unauthorised use of your account.

Payment Terms

If you subscribe to paid services, you agree to pay all applicable fees as described in your service agreement. Payments are due according to the billing schedule specified in your subscription. We reserve the right to suspend or terminate your access to paid services for non-payment. All fees are non-refundable unless otherwise specified in your service agreement.

Intellectual Property

All content, software, and materials provided through our services, including but not limited to text, graphics, logos, software code, and user interfaces, are the property of LunarExpert or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit those restrictions or you have our written permission.

Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms of Service. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. You retain ownership of any data you input into our services, and we will not use your data for any purpose other than providing our services to you.

Service Availability

We strive to maintain high service availability, but we cannot guarantee that our services will be available at all times. Our services may be subject to planned maintenance, unexpected downtime, or other interruptions. We will make reasonable efforts to provide advance notice of planned maintenance and to minimise service disruptions.

Limitation of Liability

To the maximum extent permitted by applicable law, LunarExpert shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claims arising from or related to these Terms of Service or our services shall not exceed the amount you have paid to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless LunarExpert, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of our services, your violation of these Terms of Service, or your violation of any rights of another party.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Cyprus. If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you should discontinue your use of our services.

Termination

Either party may terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will cease immediately, and we may delete your account and data.

We reserve the right to terminate or suspend your account if you violate these Terms of Service, engage in fraudulent activity, or for any other reason we deem appropriate. Termination of your account does not relieve you of any obligations incurred prior to termination.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect. The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on our services, constitute the entire agreement between you and LunarExpert concerning our services. No modification of these terms will be binding unless made in writing and signed by an authorised representative of LunarExpert.
